Terms of Service

1. Acceptance of Terms

By accessing or using Arazon's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Arazon provides enterprise AI solutions including:

  • Machine learning model development and deployment
  • Natural language processing and conversational AI
  • Computer vision and image analysis
  • Intelligent process automation
  • API access to AI models and services
  • Custom AI solution consulting and implementation

We reserve the right to modify, suspend, or discontinue any aspect of our services with 30 days notice, except for security-related changes which may be immediate.

3. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your contact information is accurate and up-to-date

We may suspend accounts that violate these terms or pose security risks.

4. AI Services - Acceptable Use

When using our AI services, you agree NOT to:

  • Use AI outputs to make decisions that materially affect individuals without human oversight
  • Generate content that is illegal, harmful, deceptive, or infringes on rights
  • Attempt to reverse-engineer, extract, or replicate our AI models
  • Use services to develop competing AI products without written permission
  • Submit data containing malware, viruses, or malicious code
  • Exceed rate limits or circumvent usage restrictions
  • Use automated systems to abuse or overload our services
  • Process data in violation of applicable laws or regulations

5. AI Output Disclaimer

Important: AI-generated outputs may contain errors, inaccuracies, or biases. You acknowledge that:

  • AI outputs should be reviewed and validated before use in critical applications
  • We do not guarantee the accuracy, completeness, or fitness of AI outputs for any purpose
  • You are responsible for how you use and rely upon AI-generated content
  • AI services are tools to augment human decision-making, not replace it
  • Results may vary based on input quality, context, and model limitations

6. Data Rights and Ownership

Your Data: You retain all rights to data you submit to our services ("Customer Data"). You grant us a limited license to process your data solely to provide the services.

AI Outputs: Subject to your compliance with these terms, you own the outputs generated by our AI services based on your inputs, except:

  • Outputs that incorporate our pre-existing intellectual property
  • Generic or factual information that cannot be owned
  • Content that infringes third-party rights

Model Training: We do not use your Customer Data to train our AI models without explicit written consent.

7. Service Level Agreement (SLA)

For paid plans, we commit to the following service levels:

7.1 Availability

  • API Uptime: 99.9% monthly availability (excluding scheduled maintenance)
  • Scheduled Maintenance: Notified 7 days in advance, performed during low-traffic windows
  • Emergency Maintenance: May occur without notice for security issues

7.2 Performance

  • API Latency: 95th percentile response time under 500ms for standard requests
  • Throughput: Rate limits as specified in your plan documentation

7.3 Support Response Times

  • Critical (Service Down): 1 hour response, 4 hour resolution target
  • High (Major Feature Impacted): 4 hour response, 24 hour resolution target
  • Medium (Minor Issue): 24 hour response, 72 hour resolution target
  • Low (General Inquiry): 48 hour response

7.4 SLA Credits

If we fail to meet our availability commitment, you may be eligible for service credits:

  • 99.0% - 99.9% uptime: 10% credit
  • 95.0% - 99.0% uptime: 25% credit
  • Below 95.0% uptime: 50% credit

Credits must be requested within 30 days of the incident. Credits are applied to future invoices and do not exceed 50% of monthly fees.

8. Fees and Payment

  • Fees are charged based on your selected plan and usage
  • All fees are non-refundable unless otherwise stated
  • We may modify pricing with 30 days notice
  • Overdue payments may result in service suspension
  • You are responsible for all applicable taxes

9. Intellectual Property

All Arazon technology, including our AI models, algorithms, software, documentation, and trademarks, remain our exclusive property. These terms do not grant you any rights to our intellectual property except the limited license to use our services.

10. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care used to protect its own confidential information. Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Arazon shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not liable for decisions made based on AI outputs
  • We are not liable for third-party services or integrations

These limitations apply regardless of the theory of liability (contract, tort, or otherwise).

12. Indemnification

You agree to indemnify and hold Arazon harmless from claims arising from:

  • Your use of our services in violation of these terms
  • Your Customer Data or how you use AI outputs
  • Your violation of applicable laws or third-party rights

13. Termination

  • Either party may terminate with 30 days written notice
  • We may terminate immediately for material breach or illegal activity
  • Upon termination, your access ceases and we may delete your data after 30 days
  • Provisions that should survive termination (confidentiality, limitation of liability) will survive

14. Dispute Resolution

Any disputes shall be resolved through:

  • Informal Resolution: Good faith negotiation for 30 days
  • Mediation: If negotiation fails, non-binding mediation
  • Arbitration: Binding arbitration under AAA Commercial Rules

Class action waivers apply. Small claims court remains available for qualifying disputes.

15. Governing Law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

16. Changes to Terms

We may revise these terms with 30 days notice. Continued use after changes become effective constitutes acceptance. Material changes will be communicated via email or in-app notification.

17. General Provisions

  • Entire Agreement: These terms constitute the complete agreement
  • Severability: Invalid provisions will be modified to minimum extent necessary
  • Waiver: Failure to enforce a right does not waive it
  • Assignment: You may not assign these terms without our consent
